By accessing the Site, submitting a manuscript, placing an order, creating an account, or using any of our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any other policies, guidelines, or rules posted on the Site. If you do not agree with any part of these Terms, you must not use our Site or Services.

1. Acceptance of Terms

Your use of the Site and Services constitutes your agreement to these Terms, which may be updated from time to time. Continued use of the Site or Services after any such changes constitutes your acceptance of the revised Terms. We recommend that you review these Terms periodically for updates.

2. Description of Services

Elite Book Publisher offers professional publishing and author support services, including but not limited to:

• Book Publishing (Print and eBook formats)
• Editing & Formatting (Developmental, copyediting, proofreading, interior layout)
• Children’s Book Design (Illustration, cover design, layout)
• Book Printing (Print-on-demand and bulk printing via third-party vendors)
• Book Marketing & Promotion (Social media campaigns, press releases, launch strategy, influencer outreach)
• Audiobook Narration & Publishing (Voice casting, professional narration, audio editing, distribution to Audible, Apple Books, Spotify, etc.)
• Author Website Development (Custom website design, domain setup, hosting, SEO, e-commerce integration)

All Services are provided in accordance with the scope defined in your service agreement, quote, or order confirmation ("Service Agreement").

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under U.S. law to use our Services. By using the Site or Services, you represent and warrant that you meet these eligibility requirements and are not prohibited from doing business with the United States.

4. Account Registration & Security

To access certain Services, you may be required to register an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Promptly update your information to keep it current.
• Notify us immediately of any unauthorized use or security breach.

We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or unauthorized activity.

5. Intellectual Property Rights

You retain full ownership and copyright of your original manuscript, book content, illustrations, and any materials submitted to us, as protected under the U.S. Copyright Act (17 U.S.C. § 101 et seq.).

By submitting Your Content, you grant Elite Book Publisher a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display Your Content solely for the purpose of providing the Services outlined in your Service Agreement.

You represent and warrant that:

• You own or have the legal right to use all content you submit.
• Your Content does not infringe on any third-party rights (including copyright, trademark, privacy, or publicity).
• Your Content is not defamatory, obscene, or otherwise unlawful under U.S. law.

5.2 Company Intellectual Property

All content on the Site—including text, graphics, logos, software, templates, design elements, and branding—is the exclusive property of Elite Book Publisher and protected by U.S. copyright, trademark, and trade secret laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

6. Manuscript Submission & Originality

• You are solely responsible for the originality, accuracy, and legality of your manuscript.
• We are not liable for plagiarism, copyright infringement, or libel contained in Your Content.
• We reserve the right to refuse or discontinue services for any manuscript that:
  • Contains hate speech, illegal content, or material that violates U.S. federal or state law.
  • Infringes on third-party intellectual property.
  • Is deemed inappropriate or harmful at our discretion.

7. Payments, Fees, and Invoicing

7.1 Pricing

All fees for Services are listed on the Site or provided in a written quote or invoice. Fees may vary based on project scope, turnaround time, and additional requests.

7.2 Payment Methods

We accept major credit/debit cards (Visa, Mastercard, American Express, Discover) and electronic payments via PayPal or ACH. All payments are processed securely through PCI-compliant payment gateways.

7.3 Taxes

You are responsible for any applicable sales, use, VAT, or other taxes levied by federal, state, or local authorities. We may collect such taxes where required by law.

7.4 Late Payments

9. Turnaround Times and Project Delays

• Estimated delivery dates are provided in good faith but are not guaranteed.
• Delays may occur due to:
  • Author delays in feedback or content submission.
  • Third-party vendor issues (e.g., printing, distribution).
  • Technical or unforeseen circumstances.
• We will notify you promptly of any material delays and work to minimize impact.

10. Cancellations, Refunds, and Termination

10.1 Cancellation by You

• Before work begins: Full refund (less any processing fees).
• After work begins: Cancellation may result in a partial refund, depending on work completed. Refund amounts will be determined based on time, labor, and materials used.
• After final deliverables are provided: No refunds.

10.2 Cancellation by Elite Book Publisher

We may terminate Services at any time if:

• You breach these Terms.
• Your Content violates U.S. law or our content policies.
• Fraudulent or abusive behavior is detected. In such cases, you may be entitled to a partial refund for unused, unperformed services.

10.3 Refund Process

Approved refunds will be issued to the original payment method within 14–30 business days.

11. Distribution and Sales

• We may distribute your book through third-party platforms such as Amazon KDP, IngramSpark, Barnes & Noble Press, Apple Books, Google Play, and Audible.
• You will receive royalty payments directly from these platforms according to their terms.
• Elite Book Publisher does not guarantee sales, rankings, or profits.
• You are responsible for reporting and paying income taxes on any earnings from book sales.

12. Marketing Services Disclaimer

Marketing services (e.g., social media promotion, email campaigns, PR outreach) are advisory and promotional in nature. We do not guarantee:

• Bestseller status
• Media coverage
• Specific sales numbers
• Amazon rankings or reviews

Results depend on market conditions, competition, and audience engagement.

13. Author Websites

• Websites are custom-built based on your input and provided content.
• Domain registration and hosting may be managed by us or a third party. Renewal fees apply annually.
• After website launch, additional changes may incur hourly or project-based fees.
• We are not responsible for downtime caused by third-party hosting providers.

14. Audiobook Narration & Publishing

• We coordinate voice actor casting, studio recording, audio editing, and distribution.
• You retain copyright of the audiobook content.
• Royalties from audiobook sales are paid by the distributor (e.g., Audible).
• You authorize us to use your name and book title for promotional purposes related to the audiobook.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE U.S. LAW, ELITE BOOK PUBLISHER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.
• COST OF SUBSTITUTE SERVICES
• INTERRUPTION OF BUSINESS
• ERRORS IN EDITING, DESIGN, OR FORMATTING

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Elite Book Publisher, its subsidiaries, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

• Your breach of these Terms.
• Your Content or manuscript.
• Your violation of any third-party rights or U.S. law.
• Your use of the Site or Services.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the US, without regard to its conflict of laws principles.

17.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved as follows:

• Negotiation: Parties agree to attempt good-faith negotiation for 30 days.
• Binding Arbitration: If unresolved, the dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in [Your County, State].
